Terms of Service

    Effective date: October 10, 2026

    Please read these Terms carefully. They explain your subscription, automatic renewal and how to cancel, your responsibilities for your school's data, payments and messages, and how disputes are resolved.

    1. Agreement to these Terms

    These Terms of Service ("Terms") are a binding agreement between Dojo Champ LLC, a New Jersey limited liability company ("Dojo Champ," "we," "us"), and the business or person that creates an account or uses the Dojo Champ platform, websites, mobile apps, kiosks, portals and related services (the "Service") ("Customer," "you").

    By creating an account, clicking to accept, starting a trial, or using the Service, you agree to these Terms, our Privacy Policy, our Data Processing Addendum ("DPA"), our Disclaimer and any order or plan you select (together, the "Agreement"). If you accept on behalf of a company or school, you confirm you have authority to bind it. If you do not agree, do not use the Service.

    Section 19 contains a binding arbitration agreement and class action waiver that affect your legal rights.

    2. Business use only and eligibility

    The Service is a business tool for martial arts schools and similar businesses. It is not offered to consumers for personal, family or household purposes. You must be at least 18 and legally able to enter contracts.

    Your students, parents, guardians and staff ("End Users") may access portals, kiosks and forms you enable. You are responsible for your End Users' use of the Service and for making sure they accept any terms you require.

    3. Accounts and security

    You must give accurate information and keep it current. You are responsible for all activity under your account, for keeping credentials confidential, for the permissions you grant staff, and for the kiosk PINs and portal access you issue. Notify us promptly at support@dojochamp.com of any unauthorized use. We are not liable for losses caused by unauthorized use of your credentials that did not result from our breach of these Terms.

    4. Free trial, subscription, automatic renewal and cancellation

    Free trial. New customers may receive a 30 day free trial. A valid payment card is required to start the trial. Unless you cancel before the trial ends, your card will be charged the then current subscription price on day 31 and the subscription will begin.

    Automatic renewal. Your subscription renews automatically each billing period (monthly unless you choose otherwise) at the price shown when you subscribed, plus applicable taxes, and your payment method will be charged at the start of each period until you cancel. The current price is shown on our pricing page and in your account.

    How to cancel. You can cancel at any time in Settings, Subscription inside your account, or by emailing support@dojochamp.com. Cancellation takes effect at the end of the current paid period, and you will not be charged again. We will confirm cancellation by email.

    Price changes. We may change prices on at least 30 days' notice by email or in the Service. A new price applies from your next renewal after the notice period. If you do not agree, cancel before it takes effect. Existing discounted or grandfathered pricing continues for as long as we have agreed in writing.

    Refunds. Fees are paid in advance and are non refundable, including for partial periods and unused features, except where required by law or where we expressly agree in writing.

    Late or failed payment. If a charge fails we may retry it, notify you, and suspend or limit the Service after notice until paid. You are responsible for all taxes other than taxes on our income.

    Disputed charges. Please contact us before filing a chargeback so we can resolve the issue. Chargebacks for valid charges may result in suspension.

    5. Payment processing for your school

    Card and bank payments from your End Users are processed by third party payment processors such as Stripe, under a separate agreement between you and that processor (for Stripe, the Stripe Connected Account Agreement). Dojo Champ is not a bank, money transmitter or payment processor and does not hold your funds.

    You are solely responsible for: the prices, fees, memberships and contracts you offer; obtaining authorization for every charge, including recurring charges; your refund and cancellation policies; disputes and chargebacks; compliance with card network rules and consumer billing, auto renewal and gym or health club contract laws that apply to your memberships; and any platform or processing fees disclosed to you. Payouts, holds, reserves and account reviews are controlled by the processor, not by us.

    6. Your data and your responsibilities

    You own the data you and your End Users put into the Service ("Customer Data"). You grant us a worldwide, non exclusive license to host, copy, process, transmit and display Customer Data only as needed to provide, secure, support and improve the Service, and as described in the DPA. We may use aggregated, de identified data that does not identify you or any person to operate and improve our products.

    You are the controller of Customer Data and are responsible for its accuracy and legality, including:

    • giving any required notices and obtaining any required consents, including verifiable parental consent before collecting personal information from children under 13 and consent to collect health or medical information;
    • having a lawful basis to upload any data you import from other systems;
    • not uploading payment card numbers, government ID numbers or other sensitive data except through fields designed for it.

    You are responsible for keeping your own backups or exports of data you need. You can export your data while your account is active.

    7. Email, SMS and calling compliance

    The Service lets you send emails, SMS and other messages to your End Users and leads. You are the sender of those messages and are solely responsible for them, including obtaining and documenting prior express (and where required, written) consent, honoring opt outs, quiet hours, content rules, carrier registration (such as 10DLC) and compliance with the Telephone Consumer Protection Act, CAN SPAM, state telemarketing and texting laws, Canada's CASL and similar laws. We may suspend messaging that we believe violates law or carrier rules.

    SMS credits and email packs are non refundable and may be subject to usage limits shown in the Service.

    8. SMS program terms for message recipients

    By providing your mobile number and opting in, you agree to receive text messages from your martial arts school, sent through Dojo Champ, including class reminders, schedule updates, attendance confirmations, payment and billing notifications, account and security codes, and, if you opt in to them, promotional offers and event announcements. Consent is not a condition of purchase.

    Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time; you will receive one confirmation message. Reply HELP for help, contact your school, or email support@dojochamp.com. Carriers are not liable for delayed or undelivered messages.

    We do not share or sell mobile numbers or SMS opt in data with third parties for their marketing or promotional purposes. See our Privacy Policy.

    9. Acceptable use

    You will not, and will not allow anyone to:

    • break any law, or infringe or misappropriate anyone's rights;
    • send spam, unsolicited or deceptive messages, or messages without required consent;
    • upload malware, probe, scan or test the vulnerability of the Service, or bypass security or usage limits;
    • copy, resell, sublicense, frame or build a competing product from the Service, or reverse engineer it except where law permits;
    • scrape the Service or use automated means to access it other than our published interfaces;
    • use the Service to discriminate unlawfully, harass anyone, or store unlawful content;
    • misrepresent your identity or affiliation.

    We may remove content or suspend access that we reasonably believe violates this section.

    10. AI features

    Some features use artificial intelligence to draft text, summarize data or make suggestions ("AI Output"). AI Output can be inaccurate, incomplete or inappropriate. It is not legal, financial, tax, medical or professional advice. You are responsible for reviewing AI Output before relying on it or sending it to anyone. We do not allow our AI providers to train their general models on your Customer Data.

    11. Third party services and integrations

    The Service works with third party services such as payment processors, messaging carriers, email providers, mapping, accounting and calendar tools. Your use of them is governed by their terms. We are not responsible for third party services, their availability, or data once it leaves our Service at your direction.

    12. Our intellectual property and feedback

    We and our licensors own the Service, including software, designs, templates and content, and all improvements. Subject to these Terms, we grant you a limited, non exclusive, non transferable right to use the Service for your internal business during your subscription. If you send us suggestions or feedback, we may use them without obligation to you.

    13. Availability, changes and beta features

    We aim for high availability but do not guarantee the Service will be uninterrupted, error free or available at any particular time. We may add, change or retire features. Features marked beta, preview or early access are provided as is, may change or end at any time and are excluded from any commitments.

    14. Disclaimer of warranties

    To the maximum extent permitted by law, the Service, AI Output and all content are provided "as is" and "as available." Dojo Champ disclaims all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non infringement, accuracy and any warranty arising from course of dealing. We do not warrant that the Service will meet your requirements, that data will not be lost, or that any document, waiver or agreement template will be enforceable.

    15. Limitation of liability

    To the maximum extent permitted by law: (a) Dojo Champ and its members, officers, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data, business interruption, or the cost of substitute services, even if advised of the possibility; and (b) our total liability for all claims relating to the Service or this Agreement will not exceed the fees you actually paid us for the Service in the 12 months before the event giving rise to the claim, or one hundred US dollars if greater.

    These limits apply to every theory of liability, including contract, tort, negligence and statute, and even if a remedy fails of its essential purpose. They are an essential basis of the bargain.

    16. Indemnification

    You will defend, indemnify and hold harmless Dojo Champ and its members, officers, employees and contractors from any claims, losses, damages, fines, penalties and expenses (including reasonable attorneys' fees) arising from: your Customer Data; messages you send through the Service; your memberships, pricing, billing, refunds and contracts with End Users; your classes, events, premises and instruction, including any injury; your waivers and agreements; your breach of this Agreement or of law; or a dispute between you and an End User, staff member or processor.

    17. Term, suspension and termination

    This Agreement lasts while you have an account. You may cancel as described in Section 4. We may suspend or terminate the Service on notice if you fail to pay, or immediately if you breach this Agreement, create legal or security risk, or are investigated for fraud.

    After termination you may request an export of Customer Data for 30 days. After that we may delete Customer Data under the DPA, except where law requires us to keep it. Sections that by their nature should survive (including fees owed, data, disclaimers, limits of liability, indemnity and dispute resolution) survive termination.

    18. Confidentiality

    Each party will protect the other's non public information that is marked or reasonably understood as confidential with reasonable care, and use it only to perform this Agreement, except information that is public, already known, independently developed, or required to be disclosed by law (with notice where permitted).

    19. Dispute resolution, arbitration and class action waiver

    Informal resolution first. Before starting a claim, the party must send written notice to the other (for us, to support@dojochamp.com) and try in good faith to resolve it for 30 days.

    Binding arbitration. Any unresolved dispute arising from or relating to the Service or this Agreement will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, seated in Monmouth County, New Jersey (or remotely). The Federal Arbitration Act governs this section. Judgment may be entered in any court with jurisdiction.

    Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property, confidential information or the security of the Service.

    Class action and jury waiver. Claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. Each party waives any right to a jury trial.

    Opt out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@dojochamp.com with your name, school and a clear statement that you opt out.

    Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent permitted by law.

    20. Governing law and venue

    This Agreement is governed by the laws of the State of New Jersey, without regard to conflict of law rules. Subject to Section 19, the state and federal courts located in Monmouth County, New Jersey have exclusive jurisdiction, and both parties consent to them. The UN Convention on Contracts for the International Sale of Goods does not apply.

    21. Changes to these Terms

    We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Service before they take effect, except changes required by law or for security, which may take effect sooner. Continuing to use the Service after the effective date means you accept the updated Terms. If you do not agree, cancel before they take effect.

    22. General terms

    • Entire agreement. This Agreement is the entire agreement on its subject and replaces prior agreements. Purchase order terms do not apply.
    • Order of precedence. If documents conflict: a signed written agreement with us, then the DPA for personal data, then these Terms, then other policies.
    • Assignment. You may not assign this Agreement without our written consent. We may assign it in a merger, acquisition or sale of assets.
    • Force majeure. Neither party is liable for delays caused by events beyond reasonable control, including outages of internet, cloud, payment or carrier providers, attacks, natural disasters, pandemics or government action (this does not excuse payment).
    • Notices. We may give notice by email to your account owner or in the Service. You give notice to support@dojochamp.com.
    • Electronic communications. You agree to receive agreements, notices and receipts electronically.
    • Severability and waiver. If a provision is unenforceable it will be limited to the minimum extent and the rest stays in effect. Failure to enforce is not a waiver.
    • Independent parties. The parties are independent contractors. There are no third party beneficiaries.
    • Export and sanctions. You will not use the Service in violation of US export or sanctions laws.
